SARAH KRISHNAN DIGITAL | EXECUTIVE VIRTUAL BUSINESS SUPPORT SERVICES

1. Introduction
These Terms and Conditions ("Agreement") govern the provision of executive virtual business support services ("Services") by Sarah Krishnan Digital | Executive Virtual Business Support Services ("Service Provider", "we", "us", or "our") to the client ("Client", "you", or "your"). By engaging our Services, you agree to these Terms and Conditions in full.
2. Services
Services may include but are not limited to:
Executive Administrative Support & Communication Liaison
Personal Assistance
Travel Booking
Meetings, Event and Conference Coordinator
Project Management Support
Data Entry and Processing
HR Support
Bookkeeping & Recording Business Expenses
Custom services may be provided based on agreement and scope.
3. Engagement and Payment Terms
Services are billed at a rate of [ hourly/package rate] CAD, unless otherwise agreed upon in writing.
Payment is due within 14 days of invoicing. Late payments may incur a 1.5% monthly interest fee.
Invoices are issued [weekly/monthly/upon completion], depending on the scope and length of the engagement.
Services may be rendered on an hourly, retainer, or project basis as agreed upon in writing.
4. Working Hours and Availability
Requests made outside of business hours may be subject to additional charges and availability.
Turnaround time and deadlines must be mutually agreed upon in advance to ensure timely delivery.
5. Confidentiality
All client information and data are treated as confidential. We agree not to disclose any confidential information to third parties without your prior written consent, except as required by law.
6. Intellectual Property
All materials created in the scope of Services for the Client shall be the property of the Client upon full payment. We retain the right to display non-confidential work in a professional portfolio with your consent.
7. Cancellation, Termination and Retainers
Either party may terminate this Agreement with 7 days’ written notice.
If Services are cancelled by the Client without notice, the Client agrees to pay for work already performed and any non-refundable costs incurred.
Retainers are non-refundable unless otherwise stated in writing.
8. Limitation of Liability
We will not be liable for any indirect, incidental, or consequential damages arising from the use of Services. Our liability is limited to the amount paid by the Client for the specific Service in question.
9. Force Majeure
We will not be held responsible for delays or failure to perform due to circumstances beyond our control, including but not limited to natural disasters, internet outages, illness, or government restrictions.
10. Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
11. Amendments
These Terms and Conditions may be updated at any time. Clients will be notified of material changes in advance. Continued use of Services indicates acceptance of revised terms.
